1. Acceptance of These Terms

These Terms of Service ("Terms") govern your access to and use of the NavFlew website, software, and related services (collectively, the "Service"), which are provided by Navrivon Systems ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you may not access or use the Service.

2. Description of the Service

NavFlew is an AI-powered front desk automation service designed for dental and aesthetic clinics.

The Service can answer patient inquiries across channels such as WhatsApp, Instagram, and web chat; check availability; schedule and confirm appointments; handle no-show recovery and recall follow-ups; and escalate urgent or sensitive cases to clinic staff.

We may update, modify, or discontinue any part of the Service at any time, with or without notice. Such changes may include the addition or removal of features and capabilities.

3. Eligibility

The Service is intended for business use by clinics and healthcare practices, and by their authorized personnel. By using the Service you represent and warrant that you have the legal authority to bind your organization to these Terms, and that you are at least 18 years of age or the age of majority in your jurisdiction.

4. Accounts and Registration

Certain features of the Service may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

  • You agree to provide accurate, current, and complete information during registration.
  • You agree to notify us promptly of any unauthorized use of your account.
  • You are responsible for the actions of any users you authorize to access your account.

5. Acceptable Use and User Responsibilities

You agree not to misuse the Service. Without limiting the generality of the foregoing, you will not:

  • Use the Service in any way that violates applicable laws or regulations.
  • Upload, store, or transmit content that is unlawful, harmful, defamatory, or infringes the rights of others.
  • Attempt to gain unauthorized access to the Service, its systems, or other users' accounts.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent permitted by law.
  • Use the Service to send unsolicited messages, spam, or misleading communications.
  • Resell or sublicense the Service without our prior written consent.

You are responsible for the accuracy of the information you provide and for configuring the Service in a manner that is appropriate for your practice, including any consent mechanisms required by law.

6. AI-Assisted Communications and Human Oversight

The Service uses artificial intelligence to automate front desk conversations. You acknowledge that:

  • Automated responses are generated based on the configuration, scripts, and knowledge base you provide.
  • Urgent, sensitive, or clinically risky conversations are intended to be escalated to human staff, and you remain responsible for ensuring appropriate human oversight is in place.
  • You remain responsible for the content of communications sent to patients through the Service, including compliance with applicable advertising, medical, and data protection laws.
  • We do not provide medical advice and the Service does not replace professional clinical judgment.

7. No Medical or Professional Advice

Nothing in the Service constitutes medical, dental, or other professional advice. The Service is a communications and scheduling tool. Clinical decisions, patient triage, and the provision of care are the sole responsibility of the licensed professionals and clinics using the Service. Always consult a qualified professional for any medical questions.

8. Intellectual Property

The Service, including its software, design, content, trademarks, and all related intellectual property, is owned by or licensed to us. Except as expressly permitted by these Terms, you may not copy, modify, distribute, or create derivative works of any part of the Service.

You retain all rights to the content and data you provide to the Service. By providing content, you grant us a limited, non-exclusive license to process and store that content solely to operate and improve the Service.

9. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect information. When the Service processes patient data, your clinic is generally the data controller and we act as a data processor on your instructions.

You agree to provide any required notices and obtain any required consents from patients before their information is processed through the Service.

10. Third-Party Services and Platforms

The Service integrates with third-party platforms such as WhatsApp, Instagram, and other communication providers. We do not control these platforms, and your use of them is subject to their respective terms and policies. We are not responsible for the availability, reliability, or behavior of third-party platforms, or for any fees or limitations they may impose.

11. Fees, Payments, and Cancellation

Any fees for the Service will be set out in a separate agreement or plan you select. Unless otherwise stated, fees are due in advance and are non-refundable except as required by applicable law. You may cancel your subscription in accordance with the terms of your agreement; cancellation will take effect at the end of the current billing period.

We may change fees by providing notice in advance, in accordance with applicable law.

12. Disclaimers

To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that defects will be corrected.

Nothing in these Terms excludes or limits warranties or liabilities that cannot be excluded or limited under applicable law.

13. Limitation of Liability

To the maximum extent permitted by law, in no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business opportunities, arising out of or in connection with your use of the Service.

Our total aggregate liability arising out of or relating to the Service shall not exceed the greater of (a) the amounts you paid to us for the Service in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless Navrivon Systems and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any applicable law or the rights of any third party, including patients.

15. Termination

We may suspend or terminate your access to the Service at any time for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Service ceases immediately, and we may delete or return your data in accordance with our Privacy Policy and applicable law.

Sections that by their nature should survive termination, including sections 7, 8, 9, 12, 13, 14, and 17, shall survive.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective date" above and notify you of material changes through the Service or by other reasonable means. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of [Jurisdiction — e.g., the Islamic Republic of Pakistan], without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].
